On September 30th, 2004, I contacted ICBS for information on incorporating a new company in the province of Quebec. Mr. Garth Macintosh referred us to Mary Brodeur at their Montreal office.

Mary offered to us all the information we would require in order to incorporate our company. On October 4th, 2004 the amount of $965.00 was charged to my credit card for the service offered by ICBS for incorporating the company. On October 6th, 2004, my partner and I signed off the first set of documents in order to start the incorporation process. The name of our company would be Kompliance Inc. Mary had advised us that there is a delay of five (5) business days for the process to be completed by the Quebec Government.

On October 13th, 2004, I received a phone call from Mary advising me that Kompliance Inc. had been refused by the Quebec Government. I aske if we used Le Groupe in front of Komplaince if this would be acceptable, she stated it would. Le Groupe Kompliance Inc. would be no problem and the name would be accepted right away. Mary then proceeded to call my partner to ensure that he would be satisfied with this change of name. It was decided upon that we would go ahead with Le Groupe Kompliance inc. as our company name. Again, we were advised of the delay of five (5) business days for the application to be completed.

Mary was contacted by either Mark or me every day after this 5 day delay had expired. Every phone called ended with the same result, we were unable to get a clear and precise answer as to why our application was taking so long.

Finally on November 2nd, 2004, I received a call from Mary stating that she had received our company certificate from the Government of Quebec, and we could come in and sign the accompanying documents and pick up our minute book later that week.

On Friday November 5th, 2004, we proceeded with the signing of all official documents to complete the incorporation of our company. It was at this time that we realized that our company's name was not Le Groupe Kompliance Inc. but rather had now been changed to Les Entreprises Kompliance Inc.. Mary tried to confirm that we had given the go ahead for this name, even though both my partner and I had been contacted to confirm the usage of Le Groupe Kompliance Inc.. We could not afford to wait any longer to have this name changed so we decided to sign, much to our dissatisfaction.

After verifying and reviewing our minute book, it has come to our attention that there are several places in the book that had not been completed prior to our signing of the incorporation documents. The most important of these we believe to be the company name not appearing on our share certificates. Now we must work to have all the information entered in its entirety to ensure the accuracy of the company minute book.

Lastly, on December 1st, 2004, we received by Canada Post from the Quebec Government's Registraire des enterprises office a notice stating that our company would be dissolved if we did not declare the following information within the next thirty (30) days: The Nature of the Business. This should have been declared prior, and was part of the application process that was to be completed by ICBS, prior to the completion of the incorporation process, for which we paid ICBS to perform on our behalf.

We believed at first that we were dealing with professionals in this industry and were hoping for this process to be quick and efficient. Unfortunately this was not the case. We seemed to encounter a road block every step of the way, and each time, we were never able to get a clear and concise answer from the staff. The incompetence displayed by ICBS is unacceptable.

After sending ICBS a registered letter asking for a refund in the full amount we had paid, I am told that I authorized the name change! and that legaly I had no rights to a refund. They had their lawyer Antonella call us, after talking with her she realized that their had been a mistake... but STILL NO REFUND!!

This article is to protect others wanting to incorporate either federaly or provincially... stay away from ICBS unprofessional and finally incompetent.
