General Term and Conditions of Purchase • Letter of Credits will be issued or transferred from a third party to the seller according to MDK L/C applications request, irrevocable & at sight, not transferable . • Delivery times are final and in case of delay more then 3 months MDK has the right of cancellation of the purchase Order and the seller must pay a penalty of 10% of the total Purchase amount to the MDK . • Prices and freight rates in case of C F purchase are final and under no circumstance subject to any changes and any cases such as currency devaluation, price increase of sawn timber, natural disasters, political turmoil have no influence on agreed prices. • The seller has right of cancellation if MDK has failed to pay or is late with payments over 30 days . • MDK is conducting a QC before shipment but the seller is still responsible for the quality . • Any complaint at the final destination concerning Quality must be paid by seller, the seller has the right to inspect the goods by him self or by appointing a third party of its own costs within 30 days . The claimed amount is equal 2 x the value of the goods including transportation to the final destination. • in case of dispute MDK has the right of choice of court state otherwise MDK and Seller have agreed on Montreal / Canada as court state. Terms and Conditions of Sale 1. Definitions - ‘Seller means the appropriated Company belonging to MDK. ‘Buyer means the Corporate Entity, firm or person seeking to purchase goods or services from the Seller. ‘The Goods means the goods, which the Seller is to supply in accordance with these Conditions of Sale. Any reference to the Goods shall where appropriate include a reference to part of them. ‘The Services means the services, which the Company is to supply 2. Application - (i) These conditions shall apply without modification and to the exclusion of all and any other conditions including any appearing in any quotation, form of acceptance, delivery form or other document or letter emanating form the Buyer to the Seller unless otherwise agreed by the Seller s Company Director in writing. (ii) No other terms or conditions express, statutory, implied or otherwise other than those incorporated in this contract shall form part of this contract. 3. Sales Contract -All orders are placed and accepted by the Seller only under these terms and conditions; payment being by TT or Letter of Credit as stated in the Sales Contract. 4. Prices - (i) Prices are quoted on a day to day basis and are valid up to 10 days from date of Sales Contract unless the Sales Contract is confirmed by Seller and Buyer. (ii) The Seller s prices for Goods or works are based on the cost to the Seller of the Goods or materials, labor and transport on the day when such prices were quoted.
